Transaction in own shares

QinetiQ Group plc (the Company) announces that on 18 December 2025 it has purchased, in accordance with the authority granted by shareholders at the annual general meeting of the Company held on 17 July 2025, the following number of its ordinary shares of 1 pence each (Shares) on the London Stock Exchange, pursuant to the latest tranche of its existing share buyback programme the commencement of which was announced on 17 November 2025. 

The Company intends to cancel the purchased shares.

This announcement is prepared on a trade basis. It is expected the shares purchased will be delivered to the Company within two working days. The total voting rights referred to below is prepared on a settlement basis.

Following the purchase of these shares, the remaining number of ordinary shares in issue will be 532,212,126. The Company does not hold any ordinary shares in treasury. Therefore, the total voting rights in the Company will be 532,212,126. This figure may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a. change to their interest in, the Company under the Disclosure and Transparency Rules.
