Grant of options and PDMR Dealing
Animalcare Group plc (AIM: ANCR), the international animal health business, announces that, on 22 December 2025, nil-cost options over a total of 294,222 ordinary shares with a nominal value of 20p per share ("the Options") were awarded to Executive Directors and PDMRs of Animalcare under the Company's Long Term Incentive Plan ("LTIP"). These are the only award of Options made to Executive Directors under the LTIP during the 2025 financial year.
The awards will vest on the third anniversary of award (22 December 2028) following the assessment of performance criteria based on Earnings Per Share (EPS) growth per annum and Total Shareholder Return (TSR) over the three-year financial period ending 31 December 2027. The use of EPS and TSR as performance metrics and the associated performance scale is unchanged from the most recent awards that were made in April 2024 for the three-year period ending 31 December 2026. Performance conditions for the Options are as follows:

50% of the Option award will be subject to the EPS performance condition and the remaining 50% will be subject to the TSR performance condition. Accordingly, if one of the performance conditions is met but the other is not, the Option award will only vest in part.
After the grant of the Options, the PDMRs set out below hold the following Options and ordinary shares:

From the 2026 financial year and beyond we expect to make any option grants earlier in the year, usually in May following our annual Preliminary full year results announcement.
The notification in respect of the Option Awards set out in the Annex below was made subject to the requirements of Article 19 of the UK Market Abuse Regulation:
