Transfer of Treasury Shares and Total Voting Rights
Devolver Digital, the award-winning digital publisher and developer of independent ("indie") video games, announces that it has transferred 970,885 shares of common stock of $0.0001 par value each which the Company holds in treasury, to satisfy Restricted Stock Unit ("RSU") Awards to certain employees from the 2023 and 2024 awards under the 2022 Long Term Incentive Plan ("LTIP").
Total Voting Rights
Following this transfer of treasury shares, the Company's currently issued and outstanding share capital is 475,471,127 shares (excluding 27,946,940 shares held in treasury) and this number may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
