£400,000,000 2.308% Sterling Fixed Rate Bonds due 6 October 2032 (ISIN: XS2393618389) (the "2032 Notes")


£625,000,000 3.685% Sterling Fixed Rate Bonds due 12 July 2034 (ISIN: XS1645518736) (the "2034 Notes")


£760,000,000 3.935% Sterling Fixed Rate Bonds due 12 July 2047 (ISIN: XS1645518819) (the "2047 Notes")


£400,000,000 2.924% Sterling Fixed Rate Bonds due 6 October 2051 (ISIN: XS2393618462) (the "2051 Notes" and together with the 2029 Notes, the 2032 Notes, the 2034 Notes and the 2047 Notes, the "Notes")


issued by the Issuer and guaranteed by Annington Limited ("AL"), Annington Property Limited ("APL") and Annington Homes Limited ("AHL" and together with AL and APL, the "Guarantors" and each a "Guarantor") under the Issuer's £5,000,000,000 Euro Medium Term Note Programme


 


Capitalised terms used in this announcement and not otherwise defined shall have the meanings given to them in the trust deed dated 28 June 2017 between the Issuer, the Guarantors and BNY Mellon Corporate Trustee Services as trustee ("BNY") as amended on 27 September 2021.


Following extraordinary resolutions passed at a meeting of the holders of the Notes held on 18 August 2025 convened by BNY to, among other things, remove BNY as trustee and to pre-approve GLAS Trustees Limited as replacement trustee in respect of the Notes, the Issuer convened meetings of the holders of the Notes to propose, among other things, extraordinary resolutions to approve its preferred candidates as potential replacement trustees in respect of the Notes (each an "Issuer Convened Meeting"). Pursuant to the Issuer Convened Meeting of the holders of the 2034 Notes, an extraordinary resolution was passed to approve the appointment of The Law Debenture Trust Corporation p.l.c. as replacement trustee in respect of the 2034 Notes.


The Issuer hereby gives notice that it has yesterday appointed GLAS Trustees Limited as Trustee in place of BNY in respect of the 2029 Notes, the 2032 Notes, the 2047 Notes and the 2051 Notes, and The Law Debenture Trust Corporation p.l.c. as Trustee in place of BNY in respect of the 2034 Notes.
