Nebius shares jump as Nvidia filing reveals 9% stake

(Sharecast News) - Shares in AI infrastructure group Nebius surged in pre-market trading on Tuesday after a SEC filing revealed that Nvidia holds a 9.3% stake in the company, underlining the chipmaker's commitment to one of the fastest-growing providers of AI cloud computing services.
The Schedule 13G regulatory filing revealed that Nvidia beneficially owns 22.26m Class A ordinary shares in the Nasdaq-listed company, comprising 1.19m shares held directly and 21.07m shares underlying pre-funded warrants, which cannot be exercised or sold until 11 September.

The revelation follows Nvidia's previously announced $2bn investment in Nebius in March, but provides investors with the first formal disclosure that the stake amounts to 9.3% under US securities rules.

That's worth around $4.3bn at Monday's closing price of $182.62, which gives Nebius a market capitalisation of $46.7bn, following a 119% surge in the stock so far this year. Stock futures were up a further 7.6% ahead of the opening bell.

Amsterdam-headquartered Nebius, which emerged from the restructuring of Yandex's international assets, operates AI-first cloud infrastructure, providing GPU computing capacity and software for companies developing and deploying large AI models.

The company has been a standout performer in the AI infrastructure sector this year after securing major cloud-computing agreements, including a potentially multi-billion-dollar deal with Meta.

While Nvidia has not commented on the strategic rationale behind the investment, market observers see the investment as part of Nvidia's broader strategy of supporting emerging AI infrastructure providers that are likely to become long-term customers for its accelerated computing platforms.

In March, Nvidia said the investment was intended to help Nebius build next-generation hyperscale AI cloud infrastructure.

Nvidia futures were also rising before Wall Street opens, up 1.3% at $205.98.
